Product Market Synergies and Competition in Mergers and Acquisitions: A Text-Based Analysis
نویسندگان
چکیده
We use text-based analysis of 10-K product descriptions to examine whether firms exploit product market synergies through asset complementarities in mergers and acquisitions. Transactions are more likely between firms that use similar product market language. Transaction stock returns, ex post cash flows, and growth in product descriptions all increase for transactions with similar product market language, especially in competitive product markets. These gains are larger when targets are less similar to acquirer rivals and when targets have unique products. Our findings are consistent with firms merging and buying assets to exploit synergies to create new products that increase product differentiation. (JEL G14, G34, L22, L25)

Product Market Synergies and Competition in Mergers and Acquisitions
We examine how product similarity and competition influences mergers and acquisitions and the ability of firms to exploit product market synergies. Using novel text-based analysis of firm 10K product descriptions, we find three key results. (1) Firms are more likely to enter restructuring transactions when the language describing their assets is similar to all other firms, consistent with their...
متن کاملThe impact of horizontal mergers and acquisitions in price competition models
The question of what impact mergers and acquisitions have on key equilibrium performance measures is fundamental to our understanding of competitive dynamics in an oligopolistic industry. We address these questions in the context of price competition models with differentiated goods and asymmetric firms allowing for general non-linear demand and cost functions merely assuming that both the prea...

M any Middle-East countries, like Iran, have dynamic banking industries and have observed merger and acquisitions (M&A) waves. It has been discussed that merger waves ...

متن کاملEquilibrium Price Dispersion, Mergers and Synergies: An Experimental Investigation of Differentiated Product Competition
This paper reports an experiment conducted to examine market performance and mergers in an asymmetric differentiated product oligopoly. We find that static Nash predictions organize mean market outcomes reasonably well. Markets on average respond to horizontal mergers with price increases as predicted and marginal cost synergies exert the predicted the power-mitigating price effects. Nash predi...
